Read the fine print before it reads you.

Stipula reads your contracts, quotes and spend the way a sharp procurement lead would. It flags what is one-sided, finds what is missing, and hands you the exact lever to negotiate terms you can both live with.

stipula Latin for a straw. Romans were said to seal a bargain by breaking one together. Stipula tells you which terms to break.

Scroll the contract. Watch it get read.

A sample services agreement, run through Stipula's rule engine. Every flag, benchmark and ask that appears beside it is the engine's own output, with no AI involved.

MASTER SERVICES AGREEMENT

Vendor: Corvane Managed Services Ltd.

1. TERM AND RENEWAL. This Agreement begins on the Effective Date and continues for an initial term of thirty-six (36) months. Thereafter, this Agreement will automatically renew for successive twelve (12) month periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the end of the then-current term (flagged high: auto-renewal; high: long cancellation notice).

2. FEES. Vendor may increase the fees at each renewal by providing notice to Customer (flagged high: price escalation). All fees paid are non-refundable (flagged medium: no refunds).

3. COMMITMENT. The number of committed seats may increase but Customer may not reduce the committed seats during the Term (flagged medium: up-only commitment).

4. CHANGES. Vendor reserves the right to modify these terms or its price list at its sole discretion upon posting updated terms (flagged high: unilateral changes).

5. CUSTOMER DATA. Vendor shall own all data generated through the Services, and Customer grants Vendor a perpetual license to use Customer data for any purpose (flagged high: data ownership).

6. LIABILITY AND INDEMNITY. In no event shall Vendor's aggregate liability exceed the fees paid by Customer in the one (1) month preceding the claim (flagged medium: low liability cap). Customer shall indemnify and hold harmless Vendor from any and all claims arising out of the Services (flagged high: unlimited customer liability).

7. EXCLUSIVITY. Customer shall exclusively purchase all managed services of this kind from Vendor during the Term (flagged medium: exclusivity).

8. SERVICE LEVELS. Service credits shall be Customer's sole and exclusive remedy for any service failures (flagged low: credits as sole remedy).

9. TERMINATION. If Customer terminates for convenience, Customer shall pay an early termination fee equal to the remainder of the fees due for the Term (flagged medium: early termination fee).

10. GOVERNING LAW. This Agreement is governed by the laws of the State of Delaware, and any dispute shall be resolved by binding arbitration (flagged low: binding arbitration).

Sample agreement. The parties are fictional.

Result: 13 one-sided clauses, 4 missing protections, risk 100/100. From here the negotiation email, a tracked-changes redline and a PDF report are one click each.

Three quotes. One ledger.

The same scroll, for buying: three software quotes for 120 seats, run through Stipula's vendor comparison.

  1. 1 / 4

    As they came in.

Kestrel bills monthly with a setup fee. Tallis takes 10% off for a 36-month term. Ondine prices per seat per year. Three formats, and no honest way to compare them by eye.

  2. 2 / 4

    On one annual figure.

Every quote is normalized to one yearly cost for the same 120 seats, discounts included. Tallis and Ondine land within $100 of each other.

  3. 3 / 4

    Weighed against what you need.

SSO and an audit log are must-haves; API access and data residency are nice to have. Tallis covers half the wants, so the field re-ranks on a 60/40 cost-to-features weighting.

  4. 4 / 4

    With the lever in hand.

Ondine comes out on top, about $9,120 a year under the priciest comparable option. Tallis's 36-month lock-in is flagged, and every vendor gets its own asks.

Then the invoices arrive.

A quarter of spend from a mid-sized office, run through Stipula's spend audit.

  1. 1 / 5

    Drop in the export.

Sixteen lines, $45,810. A CSV, an Excel sheet or a PDF statement, as it comes out of your accounting system.

  2. 2 / 5

    Billed twice.

Summit Courier charged $2,450 on January 5 and again on January 7. Same vendor, same amount, two days apart: $2,450 recoverable.

  3. 3 / 5

    One vendor, two names.

Granite Office Supply and Granite Office Supply Inc. are one company on two accounts, $5,880 between them. Consolidate it and buy at one price.

  4. 4 / 5

    Creeping up.

Pixelcraft's monthly charge went from $1,200 to $1,380 in four months. A 15% rise, flagged before it becomes the new normal.

  5. 5 / 5

    What it adds up to.

$6,200 in estimated savings: the double charge in full, plus a conservative 20% on the spend split across vendors doing the same job (courier, office supplies, cloud storage).

When it's a bid, not a quote.

Issued an RFQ or RFP? These read the package you sent and every response that came back. Every finding quotes the document it came from, and anything that can't be found in the source is dropped rather than shown.

Bid compliance
Extracts the requirement list from your bid document, then checks each response against it: compliant, deviation, or not addressed. Anything offered that you didn't ask for is set aside.
EDQ review
Exceptions, deviations and qualifications against your terms and conditions. Only contested clauses come back, because silence is acceptance; each gets a verdict, and the redline comes out as a tracked-changes Word file.
Clarifications
Every statement that narrows what the price covers, quoted word for word, with bidders side by side. A topic one bidder never mentions is reported as loudly as an exclusion.
Bid tabs and CBEs
Commercial bid evaluation workbooks read directly, without AI, reconciled to their own totals, with the line items lined up and the lowest price marked.

Keep the leverage after you sign.

Findings don't end at the PDF. They roll into a workspace that remembers what you found, what you captured, and what is about to renew.

Savings ledger
Every saving Stipula identified, and what you actually captured. Mark findings captured, with the real amount, or dismissed as you work them.
Renewal calendar
Cancel-by dates worked out from each saved contract, before the auto-renewal locks you in. Subscribe from your calendar, or get an email digest.
Negotiation rounds
Upload the vendor's revised draft and see which of your asks they accepted, which they ignored, what they slipped in, and how the risk score moved.
Ask this contract
Plain-language questions, answered with the clause quoted. When the contract doesn't address it, Stipula says so.
Playbook
Your thresholds, required protections and forbidden clauses, in your own words, enforced on every review.
Exports
PDF reports, CSV, a DOCX redline with tracked changes, the negotiation email, an ICS renewal feed, a ZIP of all your data, and read-only API tokens for BI tools.

Your workspace, walled off.

Stipula is a hosted web app, so there is nothing to install. What you put in stays in your workspace, and you can take it out or wipe it whenever you like. We won't promise "100% secure". Here is exactly what we do.

Private by workspace
Every request is scoped to your workspace. Ask for another customer's record and the answer is "not found".
Encrypted and backed up
HTTPS everywhere, encryption at rest, daily backups. The database accepts no connections from the public internet.
Kept only when you save it
Running an analysis doesn't file your document. Contracts are kept when you save them to your library, spend when you add it to your history.
Export or erase, any time
Download everything as a ZIP of JSON and CSV, or erase all of it permanently. Your account stays; the data doesn't.
AI you can see
Deep AI contract review is opt-in; without it, review runs on Stipula's own servers. Features that need AI to read a document send that text to our AI provider, currently OpenAI, under its API terms.
Hardened sign-in
Passwords hashed with scrypt, sessions in cookies page scripts can't read, revoked on the server when you sign out, and read-only tokens for BI tools.

Straight answers.

Anything else, ask us on the walkthrough.

What is Stipula?

Procurement intelligence for the teams who sign the contracts. It flags the one-sided clauses in your contracts, ranks competing quotes, checks bid responses for deviations and scope exclusions, and finds the duplicate spend in your ledger. Every finding comes with the lever to negotiate: the ask, the redline, and the email.

Who is it for?

Anyone who signs service agreements, software subscriptions, purchase orders and MSAs, on either side of the table: the business issuing a contract, or the vendor or contractor asked to sign one. Its rule set also covers industry terms, such as take-or-pay minimums and standby charges in field services.

Where do my documents go?

Stipula is a hosted web app. Documents are uploaded over HTTPS into your own workspace, which no other customer can read. Running an analysis does not file the document: contracts are stored when you save them to your library, and spend lines when you add them to your history. You can download everything as a ZIP of JSON and CSV, or erase all of it permanently, at any time.

Does it use AI, and does it work without it?

Both. A deterministic rule engine reviews every contract with no AI at all, and comparing entered quotes, reading CBE and bid tab workbooks, and auditing CSV or Excel spend need no AI either. Deep AI contract review is opt-in. Reading uploaded quotes and scanned PDFs, bid compliance, EDQ review, clarifications and contract Q&A use AI, and send the relevant text to Stipula's AI provider, currently OpenAI, under its API terms.

What files can it read?

PDF, Word (DOCX), Excel (XLSX), CSV and plain text, uploaded as you received them. Scanned PDFs are read too. Commercial bid evaluation and bid tab workbooks are read directly, and SAP vendor line-item exports work as-is in Spend Audit.

What do I get out of it?

Flagged clauses with market benchmarks and the ask for each, ranked vendor comparisons, compliance and EDQ verdicts, and recoverable spend. Exports include PDF reports, CSV, a DOCX redline with tracked changes, a drafted negotiation email, a ZIP of all your data, and an ICS calendar feed of renewal deadlines.
