Procurement intelligence for the teams who sign the contracts stipula.ca

Stipula

Every term, on your terms.

Read the fine print before it reads you.

Stipula reads your contracts, quotes and spend the way a sharp procurement lead would. It flags what is one-sided, finds what is missing, checks every bid for deviations, and hands you the exact lever to negotiate terms you can both live with.

Three ways to find money before you sign · real engine output on sample documents

01 · Contract Review

Every one-sided clause.

Each flag quotes the offending line, says why it matters, sets it against a market benchmark, and gives the ask. Missing protections, one risk score, the negotiation email and a tracked-changes redline.

13 clauses · 100/100flagged in a sample services agreement, plus 4 missing protections, rule engine only
02 · Compare Vendors

Every quote on one ledger.

Enter quotes or upload them as received. Billing normalized to one annual figure, needs and wants checked, the field ranked on your own cost-versus-features weighting, and asks per vendor.

$9,120/yrsaved by picking the right one of three software quotes for 120 seats
03 · Spend Audit

Money hiding in the ledger.

Double-billing, duplicate vendor accounts, overlapping categories and subscriptions creeping up, from a CSV, Excel or PDF statement. Each finding says what is recoverable.

$6,200estimated savings in a 16-line office ledger, including a $2,450 courier charge billed twice

When it's a bid, not a quote · bid evaluation

Bid compliance

Requirements pulled from your RFQ or RFP; each response checked: compliant, deviation, or not addressed.

EDQ review

Exceptions, deviations and qualifications against your Ts & Cs, with a verdict per clause and a DOCX redline.

Clarifications

Every scope exclusion quoted verbatim, bidders side by side, and silence flagged as loudly as exclusion.

Bid tabs & CBEs

Commercial bid evaluation workbooks read directly, reconciled to their own totals, with no AI needed.

Auto-renewal(HIGH)One of 6 high-severity flags

Thereafter, this Agreement will automatically renew for successive twelve (12) month periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the end of the then-current term

Why it matters: Contract renews automatically, so a missed cancellation window locks you in for another term.

Market benchmark: Auto-renewal itself is common, but market practice pairs it with a 30-day notice window and a written pre-renewal reminder obligation; silent renewal behind a 60-90 day window is vendor-favorable.

Negotiate: Negotiate removal of auto-renewal, or require written mutual agreement to renew. At minimum, add a renewal reminder 90 days before the notice deadline.

Keep the leverage after you sign

Savings ledger

Every finding logged with its estimate, then marked captured, with the real amount, or dismissed.

Renewal calendar

Cancel-by dates computed from each saved contract, as a calendar feed or an email digest.

Negotiation rounds

The vendor's revised draft compared with your asks: accepted, ignored, and anything slipped in.

Ask this contract

Plain-language questions, answered with the clause quoted, or "the contract is silent on this".

Playbook

Your thresholds, required protections and forbidden clauses, in your own words, enforced on every review.

Exports

PDF reports, CSV, DOCX redline with tracked changes, negotiation email, ICS feed, and a ZIP of all your data.

How it works

01

Upload as received

PDF, Word, Excel, CSV or text, several at a time. Scanned PDFs are read too.

02

Read, then checked

A rule engine on every contract; deep AI review when you switch it on, with unfound quotes marked unverified.

03

Act on it

Send the email and redline, export the report, and log the savings to your ledger.

Security & privacy

Hosted, nothing to install. Your own workspace, which no other customer can read.

Encrypted and backed up. HTTPS, encryption at rest, daily backups, no public database access.

Export or erase any time. A ZIP of JSON and CSV, or a permanent wipe of every record.

AI you can see. Deep AI review is opt-in; AI features use our provider, currently OpenAI.

stipula

Latin for a straw. Roman parties were said to seal a bargain by breaking a straw together, the origin grammarians gave for the word stipulation. A promise you could hold, and one you could break. Every term, on your terms.
